Govt Moves Closer To ZTBL Privatization
The privatization of Zarai Taraqiati Bank Limited has entered a key stage after the Privatisation Commission Board approved the proposed transaction structure and restructuring plan for the state-owned bank, according to official documents.
The transaction structure, prepared by the financial adviser, was presented to the Privatisation Commission Board on April 29, 2026. The board approved the adviser’s recommendations for submission to the Cabinet Committee on Privatization for consideration on April 30.
Approval of the transaction structure by the Cabinet Committee on Privatization and the federal cabinet is now among the next major steps in the process. Once approved, the government plans to invite potential investors and bidders to participate in the privatization of ZTBL.
The next stages will include publication of an expression of interest, prequalification of bidders, completion of buy side due diligence, competitive bidding and financial closure.
The final Due Diligence Report for ZTBL has already been approved by the Transaction Committee. The financial adviser initially submitted the Enterprise Due Diligence Report and Transaction Structure Report on November 11, 2025.
The reports subsequently went through several rounds of reviews and consultations involving the Privatisation Commission, ZTBL, the State Bank of Pakistan and other stakeholders. Revised reports were submitted by the financial adviser on January 18 and April 24, 2026, before the Transaction Committee approved the final Due Diligence Report at meetings held on May 25 and June 17.
The federal cabinet approved the privatization of ZTBL on August 13, 2024, under the government’s Privatization Programme 2024 to 29. The Privatisation Commission Board subsequently classified the bank’s privatization as a major privatization at its meeting on September 30, 2024.
The Privatisation Commission Board approved the appointment of the top ranked bidder, a consortium led by Next Capital, on July 3, 2025.
The Financial Advisory Services Agreement was signed on August 8, 2025, while the ZTBL Transaction Committee was constituted in September 2025 to oversee the financial adviser’s work, review transaction matters and support the completion of the privatization process.
